These terms are between the person or organisation using VeroFlag and the VeroFlag operator identified below. If you use VeroFlag on behalf of a company or other organisation, you confirm that you have authority to bind that organisation.

The service
VeroFlag provides workflow software for screening, review, audit records, and monitoring. The service may include sanctions checks, PEP checks, combined PEP and sanctions checks, company or related-entity checks, source provenance, match explanations, reviewer decisions, group workflows, invitations, notifications, exports, APIs, billing, and admin tools.
VeroFlag is decision-support software. It does not provide legal, financial, regulatory, tax, or compliance advice. It does not make final compliance decisions, guarantee that data sources are complete, or guarantee that a candidate match is a true match.
Business use only
VeroFlag is intended for business, professional, and internal compliance workflow use. It is not intended for personal, household, consumer, or child use. You must be at least 18 and legally able to enter into these terms.
Accounts, workspaces, and users
- You must provide accurate account, workspace, billing, and contact information.
- You are responsible for keeping credentials secure and for all activity under your account or workspace.
- Workspace owners and administrators are responsible for inviting, removing, and managing users, roles, groups, and permissions.
- You must tell us promptly if you suspect unauthorised access, credential compromise, or misuse.
Your responsibilities
- Use VeroFlag only for lawful screening, review, audit, monitoring, and related internal workflow purposes.
- Ensure that you have a lawful basis and any required notices, authorisations, policies, or conditions for screening people or organisations.
- Provide accurate screening inputs and review outputs carefully before taking action.
- Use human review for screening decisions and do not treat scores, candidate matches, or source data as final determinations.
- Keep your own records, policies, training, and legal/compliance processes appropriate for your business and regulatory obligations.
- Do not submit data you are not authorised to process or disclose.
Beta, trial, and free access
If VeroFlag is provided as beta, trial, preview, early-access, or free access, the service may be incomplete, change without notice, contain defects, and be subject to usage limits. We may suspend or end beta, trial, preview, early-access, or free access at any time.
Unless we agree otherwise in writing, beta or free access must not be used to resell VeroFlag, provide a paid screening service to third parties, bulk-export source data, or repackage screening datasets.
Data sources and OpenSanctions
VeroFlag uses public and third-party data sources, including data aggregated and normalised by OpenSanctions and the underlying source publishers referenced in the service. Source data can be incomplete, out of date, duplicated, mistranscribed, withdrawn, corrected, or interpreted differently by different authorities.
- You must review source evidence before relying on a result.
- You must not remove source attribution, provenance, copyright, database-right, or licence notices.
- You must not scrape, bulk-download, resell, redistribute, or build a competing source-data product from VeroFlag unless we have agreed this in writing.
- You remain responsible for complying with any source-data restrictions that apply to your use case.
Acceptable use
- Do not break the law, infringe rights, or use VeroFlag in a discriminatory, deceptive, harmful, or abusive way.
- Do not attempt to bypass authentication, authorisation, rate limits, billing limits, usage limits, or security controls.
- Do not interfere with, overload, scan, scrape, reverse engineer, or disrupt the service except as expressly permitted by us in writing.
- Do not upload malware, secrets you are not authorised to disclose, or unlawful content.
- Do not use VeroFlag to make solely automated decisions with legal or similarly significant effects unless you have an independent lawful basis and appropriate safeguards.
Customer data
You keep ownership of the data you or your authorised users submit to VeroFlag. You give us the rights needed to host, copy, process, transmit, analyse, display, secure, back up, and otherwise use that data to provide, protect, support, and improve the service and to meet legal obligations.
Our handling of personal data is described in the Privacy Policy. If you need a separate data processing agreement, contact support@veroflag.com.
Fees, billing, and paid plans
Where paid plans are enabled, prices, usage limits, billing frequency, taxes, and plan features are shown in the service, in an order flow, or in a separate written agreement. Payment processing may be handled by Stripe or another payment provider. You authorise us and our payment providers to charge applicable fees and taxes using the payment method you provide.
Unless a separate written agreement says otherwise, fees are non-refundable except where required by law or where we decide to issue a credit or refund.
Availability and changes
We aim to provide a reliable service, but we do not guarantee uninterrupted availability, any specific uptime, or that every feature will remain available. We may update, limit, suspend, replace, or remove features where reasonably necessary for security, reliability, legal, commercial, or product reasons.
Intellectual property
VeroFlag, the website, app, software, design, workflows, and documentation are owned by us or our licensors. These terms give you a limited, revocable, non-exclusive, non-transferable right to use the service for your authorised business use. No other rights are granted.
Confidentiality
Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information, use it only for the permitted purpose, and disclose it only to people or providers who need to know it, unless disclosure is required by law.
Disclaimers
To the fullest extent permitted by law, VeroFlag is provided on an "as is" and "as available" basis. We do not warrant that the service, screening outputs, scores, source data, monitoring alerts, exports, or integrations will be error-free, complete, current, or suitable for your specific regulatory obligations.
Liability
Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
Subject to that, we are not liable for indirect, consequential, special, exemplary, or punitive loss, loss of profit, loss of revenue, loss of goodwill, business interruption, loss of anticipated savings, or loss or corruption of data. Unless a separate written agreement states otherwise, our total aggregate liability is limited to the greater of the fees paid by you for the service in the three months before the event giving rise to the claim or GBP 100.
Suspension and termination
We may suspend or terminate access if you breach these terms, create a security or legal risk, fail to pay fees when due, exceed usage limits, misuse the service, or where required by law. You may stop using the service at any time. Termination does not affect rights or obligations that have already arisen.
Governing law
Unless a separate written agreement says otherwise, these terms and any non-contractual obligations arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable law requires otherwise.
